For investors

Are you an accredited investor?

Our offerings are private placements open to accredited investors residing in the United States. Here's who qualifies under SEC Rule 501(a), and what to expect when you invest with us.

Individuals qualify with any one of these

01

Income

Earned income over $200,000 (or $300,000 together with a spouse or spousal equivalent) in each of the last two years, with a reasonable expectation of the same this year.

02

Net worth

Net worth over $1 million, alone or together with a spouse or spousal equivalent, excluding the value of your primary residence.

03

Professional credentials

Holding a Series 7, Series 65 or Series 82 license in good standing.

Investing through an entity

An entity can be accredited on its own. Common cases:

  • Trusts with over $5 million in assets, not formed to acquire the securities, directed by a sophisticated person
  • Corporations, LLCs, partnerships and non-profits with over $5 million in assets, not formed to acquire the securities
  • Any entity in which every equity owner is an accredited investor
  • Entities owning over $5 million in investments, and family offices with over $5 million under management (and their family clients)
  • Banks, registered investment advisers, broker-dealers, insurance companies and other regulated institutions

How verification works

You confirm your status when you sign up. Before you invest, we may ask you to verify it. Any one of these works:

  1. Option 1

    Letter from a professional

A written confirmation from your CPA, attorney, registered investment adviser or broker-dealer.

  2. Option 2

    Income documents

IRS forms (W-2, 1099, K-1 or tax returns) for the last two years.

  3. Option 3

    Net worth documents

Recent bank, brokerage and other asset statements, plus a credit report for liabilities.

  4. Option 4

    Third-party verification

An independent verification service that reviews your documents and issues a letter.

Common questions

Why are your offerings limited to accredited investors?

Our offerings are private placements made under Regulation D, which exempts them from SEC registration. Limiting them to accredited investors is part of how that exemption works, and it reflects that private real estate is illiquid and carries risk, including possible loss of your entire investment.

Can I invest through my LLC, trust or IRA?

Often, yes. Entities qualify on their own (see above) or when every owner is accredited. Self-directed IRAs can invest if the IRA owner is accredited. We confirm the details before you subscribe.

Does my spouse’s income or assets count?

Yes. Joint income with a spouse or spousal equivalent uses the $300,000 threshold, and net worth can be measured jointly.

When do I have to prove it?

You confirm your status when you create an account. Before you invest, we may ask you to verify it with one of the methods above, depending on the offering.

Is my information kept private?

Yes. Verification documents are stored encrypted, are visible only to the compliance staff who review them, and are never shared outside what the law requires.
